We also advise and provide representation for our clients in the industry in their corporate matters  such as setting up their businesses in the EMEA region. Our services include advising on regulatory approvals, corporate structures, employment, intellectual property rights, customs and tax issues and drafting joint venture agreements, articles of association, technical assistance and management agreements. Our lawyers’ experience includes advising and representing joint venture parties in disputes or serving as arbitrators in such disputes.

Examples of our lawyers’ experience include:

• Advising a UK based pharmaceuticals company in establishing a JV with a Lebanese distributor to extend its distribution network to the Arab Gulf region. Mission involved negotiation with a former distributor in connection with a dispute for termination of distribution agreement, establishing a JV company, drafting shareholders agreements and new distribution contract and other contractual documents.
• Advising the shareholders of a group owning the largest chain of pharmacies in an East-European country on the re-structuring of their group, including the drafting of shareholder’s agreements, call/put options, rights of first refusal and their application under several European laws.
• Representing a client in the medical device sector in a wrongful termination of an agency agreement involving issues of validity of an international arbitration clause and public policy matters.
